MINUTES OF A SPECIAL MEETING OF THE BOARD OF DIRECTORS OF THE
NORTHWEST LAKEWOOD SANITATION DISTRICT AND THE BOARD OF DIRECTORS OF THE WASTEWATER UTILITY
ENTERPRISE
HELD DECEMBER 23, 2020
Due to the COVID19 pandemic, the Special monthly meeting of the Board of Directors of the
Northwest Lakewood Sanitation District and the Board of Directors of its Wastewater
Utility Enterprise (collectively referred to hereafter as “Board”) convened, by telephone
conference call on Wednesday, December 23, 2020, at 10:00 A.M. The call-in information was listed
in the meeting notice posted by the District and the public was able to attend the meeting by
telephone, if they so desired.

ADMINISTRATIVE MATTERS
Minutes: The Board reviewed the minutes of the November 25, 2020, Special Meeting.
Following discussion, upon motion duly made by Director Kesler, seconded by Director
Davenport, and upon vote, unanimously carried, the minutes of the November 25, 2020 Special Meeting
were approved, as presented.
PUBLIC COMMENTS
There were no public comments.
RECORD OF PROCEEDINGS
FINANCIAL MATTERS
Claims: Mr. Beck discussed the claims for the period ending November 12, 2020 with the Board as
follows:
General Fund $ 16,298.24
Enterprise Fund $ 41,364.51
Total $ 57,662.75
Following discussion, upon motion duly made by Director Kesler, seconded by Director
Fabisiak and, upon vote, unanimously carried, the Board approved the payment of claims for
the period ending December 17, 2020.
Unaudited Financial Statement: Mr. Beck reviewed with the Board the unaudited financial statements
of the District setting forth the cash deposits, investments, and budget analysis, accounts
payable vouchers for the period ending November 30, 2020, the schedule of cash position dated
November 30, 2020, and the Accounts Receivable reports on collections of fees, the past due
accounts and collection efforts.
Following discussion, upon motion duly made by Director Fabisiak, seconded by Director
Kesler, and, upon vote, unanimously carried, the Board accepted the unaudited financial statements
of the District setting forth the cash deposits, investments, budget analysis, accounts payable
vouchers and accounts receivables reports for the period ending November 30, 2020, and the
schedule of cash position dated November 30, 2020, as presented.
Bill.com discussion: The discussion was tabled until January so that Attorney Flynn can review the
Terms and Conditions received from Bill.com.
LEGAL MATTERS Update on 930 Alkire Street Easement: Attorney Flynn and Mr. Willis discussed
with the Board the efforts to secure the required easement for the District to obtain access to the
sewer main that runs along the eastern property line of this property and which is necessary to
install a new manhole that is not located beneath either of the garage structures that are located
along the property’s easterly boundary line. They are preparing a proposal for the new owner to
review and will also prepare to perform a survey so that the new easement does not run under the
garages.
Third Restated and Amended Sewer Service Agreement with Applewood Sanitation
District: Attorney Flynn and Director Zimmerman met with Attorney Scheurer for Applewood
on the proposed agreement changes. Director Zimmerman will review the document received and will
report back to the Board in January. It was reported that the inter District billings for 2019 and
2020 had been billed and paid by each District based on the old agreement.
RECORD OF PROCEEDINGS
JeffCo Schools Development Review Agreement: Attorney Flynn discussed the Development
Review Deposit Agreement for the Prospect Valley Elementary School Project with the Board and the
recommended amount of $10,000.00 and that it has been accepted by JeffCo Schools and that they will
pay the deposit when invoiced by Mr. Beck.
Following discussion, upon motion duly made by Director Zimmerman, seconded by Director Kesler
and, upon vote, unanimously carried, the Board approved the Development Review Deposit
Agreement for the Prospect Valley Elementary School Project with JeffCo Schools.
JeffCo Schools Relocation Agreement: Attorney Flynn and Mr. Willis discussed the Prospect Valley
School project and the relocation agreement needed between the school district and the
District for the line running through the school property. The relocation will be at the total
expense of the school district.
Gold’s Marketplace Development Review Agreement: Attorney Flynn discussed the deposit agreement for
$5,000.00 and the amendment to request an additional $2,500.00 for additional anticipated expenses.
OPERATIONS MATTERS
Operations Monthly Report: Mr. Ramey reviewed the monthly report (November 1- 30) with the Board.
A copy of the report is attached hereto and incorporated herein by this reference.
Engineer’s Report: Mr. Willis reviewed with the Board the engineering report dated December 23,
2020. A copy of the report is attached hereto and incorporated herein by this reference.
OTHER BUSINESS Website Update: Mr. Frankland reported on website activity.
ADJOURNMENT There being no further business to come before the Board at this time, upon
motion duly made by Director Kesler, seconded by Director Fabisiak and, upon vote,
unanimously carried, the meeting was adjourned.
